These Terms of Service ("Terms") govern your access to and use of the website and services of Brux Dental Marketing LLC ("Brux," "we," "us," or "our"). By accessing or using our website or services (the "Services"), you agree to these Terms.
1. Acceptance of terms
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a practice or organization, you represent that you are authorized to bind that entity.
2. The services
Brux provides AI-powered patient communication, marketing, automation, and related services for dental practices. The specific products, scope, and deliverables for your engagement are described in your order form or written agreement with us.
3. Eligibility and accounts
You must be at least 18 years old to use the Services. You agree to provide accurate information and to keep your account credentials secure. You are responsible for activity that occurs under your account.
4. Fees, billing, and cancellation
Fees are as set out in your order or agreement. We do not require long-term contracts. For paid advertising and lead-management services, we request a minimum three-month engagement so that campaigns have time to ramp and optimize.
You may cancel as described in your agreement, and you can cancel ongoing month-to-month services at any time. Except where required by law or expressly stated, fees already paid are non-refundable.
5. Your responsibilities and compliance
You are responsible for complying with all laws applicable to your practice and your patients, including obtaining and maintaining all required consents for communications you ask us to send (for example, SMS and email consent under the TCPA and similar laws), and for the accuracy and lawful use of any data you provide or direct us to process.
6. Acceptable use
You agree not to use the Services for any unlawful, infringing, deceptive, or harmful purpose, and not to interfere with or attempt to gain unauthorized access to the Services or related systems.
7. Intellectual property
We retain all rights in the Services and our underlying technology, software, and brand. You retain ownership of the content and data you provide, and you grant us the rights necessary to use that content and data to deliver the Services.
8. Third-party services
The Services may integrate with third-party tools (such as practice management systems, CRMs, calendars, and messaging providers). Your use of those tools is governed by their own terms, and we are not responsible for third-party services.
9. No guarantee of results
Marketing and conversion results vary based on many factors outside our control, including your market, offers, and operations. We do not guarantee any specific results, lead volume, conversion rate, or revenue.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Brux will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Services is limited to the amounts you paid us for the Services in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold Brux harmless from claims, damages, and expenses arising out of your use of the Services, your content or data, or your violation of these Terms or applicable law.
13. Term and termination
Either party may terminate the Services as described in the applicable agreement. We may suspend or terminate access if you breach these Terms. Provisions that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.
15. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the date above, and your continued use of the Services constitutes acceptance of the updated Terms.
